1. Acceptance of Terms

These Terms of Service (the “Terms”) form a binding agreement between you and USA Homepage LLC, a Delaware limited liability company (“Sponsor,” “we,” “us,” or “our”), governing your access to and use of the website usahomepage.com (the “Site”) and any services, features, and content offered through the Site (collectively, the “Services”). By accessing or using the Site, purchasing a Pixel-Block, uploading content, making a contribution, or entering the Sweepstakes, you confirm that you have read, understood, and agree to be bound by these Terms, the Privacy Policy, the Content Policy, and the Sweepstakes Official Rules (collectively, the “Agreement”). If you do not agree, do not use the Site.

2. Definitions

In addition to terms defined elsewhere in this Agreement:

  • “Pixel-Block” means a contiguous block of eighty-one (81) pixels on the Map, sold by Sponsor as a unit at the price stated on the Site.
  • “Map” means the interactive 2,750,112-pixel canvas of the United States displayed on the Site.
  • “Management Link” means the unique, email-delivered link that allows a buyer (or gift recipient) to upload, replace, or modify the image and URL associated with a Pixel-Block, without password-based authentication.
  • “User Content” means any image, URL, caption, or other material that you upload, submit, or otherwise provide through the Site.
  • “Sweepstakes” means the USA Homepage 2026 America 250 Sweepstakes, governed by the separate Sweepstakes Official Rules posted at usahomepage.com/rules.
  • “DonorsChoose” means DonorsChoose.org, Inc., a 501(c)(3) public charity that is a charitable beneficiary of the Site but is not a sponsor, operator, or co-sponsor of the Site or the Sweepstakes.

3. Eligibility

To use the Site, purchase a Pixel-Block, or upload User Content, you must be at least eighteen (18) years of age (or the age of majority in your jurisdiction, whichever is greater) and a legal resident of the United States or the District of Columbia. By using the Site you represent and warrant that you meet these requirements and have the legal capacity to enter into this Agreement.

Sweepstakes eligibility is governed separately by the Sweepstakes Official Rules and excludes residents of New York, Florida, and Rhode Island. Residents of those states may still purchase Pixel-Blocks, participate in the Honoree Wall and Heroes Ticker, and make direct contributions to DonorsChoose; they are not eligible to enter, win, or receive any prize in the Sweepstakes. 4. Account and Management Link

The Services do not require account creation or password-based login. Following a successful Pixel-Block purchase, Sponsor will email a Management Link to the email address provided at checkout. You are responsible for safeguarding your Management Link and the email account associated with it. Anyone with possession of the Management Link can manage the associated Pixel-Block.

If you lose your Management Link, you may request that Sponsor email a replacement to the original purchase email address using the recovery feature on the Site. Sponsor is not responsible for unauthorized use of Management Links resulting from your failure to safeguard your email or share the link.

5. Pixel-Block Purchases

(a) Nature of the Purchase

A Pixel-Block purchase is a one-time transaction for a permanent display placement on the Map for the lifetime of the Site, subject to these Terms. A Pixel-Block is not: (i) real estate or an interest in real property; (ii) a security, equity interest, or financial instrument; (iii) a digital token, cryptocurrency, non-fungible token (NFT), or other blockchain-based asset; (iv) a charitable contribution; or (v) a sweepstakes entry, except as provided in Section 5(g). You acquire only the rights expressly granted in this Section 5.

(b) Price; Payment

The price of each Pixel-Block is one hundred fifty U.S. dollars ($150.00), payable in full at the time of purchase. There are no subscription fees, recurring charges, volume discounts, or premium-location surcharges. Sponsor reserves the right to modify pricing for future purchases on prospective notice posted on the Site; pricing for completed purchases will not change retroactively.

All payments are processed through Stripe, Inc. and its affiliates (“Stripe”). Sponsor does not collect, store, or have direct access to your full payment card information. Your use of Stripe is governed by Stripe's terms of service and privacy policy. Sponsor uses Stripe Tax (or comparable functionality) to calculate, collect, and remit applicable U.S. state and local sales tax. You are responsible for any other taxes owed in connection with your purchase.

(c) Order Process; Reservation

When you select Pixel-Blocks at checkout, those Pixel-Blocks are reserved for thirty (30) minutes while you complete payment. If payment is not completed within that window, the Pixel-Blocks return to general availability. Completed purchases are confirmed by an order confirmation email and by delivery of the Management Link.

(d) State-of-Allocation Designation

The State of Allocation of the purchased pixel-blocks determines (i) which state's DonorsChoose project pool receives the 10% charitable contribution attributable to your purchase under Section 11; and (ii) the state shown on the Honoree Wall and Heroes Ticker, if applicable. If you purchase multiple Pixel-Blocks spanning multiple states, the centroid of each Pixel-Block determines its individual State of Allocation by default.

(e) Image Management Window

You may upload, replace, or modify the image and URL associated with your Pixel-Block through the Management Link from the time of purchase through July 31, 2027 (the “Image Management Window”), subject to the Content Policy and Section 7. After the close of the Image Management Window, your last-approved image and URL will continue to display on the Map, but uploads and modifications will no longer be available except by special arrangement with Sponsor in its sole discretion.

(f) No Resale or Transfer

Pixel-Blocks are personal to the original purchaser (or, for gift purchases, the designated recipient) and are not transferable or resalable. Sponsor will not facilitate, recognize, or honor any purported sale, transfer, assignment, or sublicense of a Pixel-Block to a third party.

(g) Sweepstakes Entries Generated by Purchase

Each Pixel-Block purchased generates one (1) entry into the Sweepstakes, on the terms and conditions set forth in the Sweepstakes Official Rules. Sweepstakes entries are generated only by (i) Pixel-Block purchases and (ii) free Alternate Method of Entry submissions. Direct contributions to DonorsChoose through the “Support DonorsChoose” flow or the optional checkout donation upsell do not generate Sweepstakes entries.

6. Refunds

All Pixel-Block sales are final once your uploaded image has been approved by Sponsor's content moderation process and is live on the Map, except as specifically provided in this Section 6.

  • Rejected uploads. If your uploaded image is rejected by content moderation under the Content Policy, you may (i) upload a replacement image at no additional cost, or (ii) request a full refund of the affected Pixel-Block(s) within thirty (30) days of the rejection notice by contacting help@usahomepage.com. Refunds for rejected uploads return the Pixel-Block(s) to general availability.
  • Technical errors. If you experience a technical issue during checkout that results in a duplicate or erroneous charge, contact help@usahomepage.com within thirty (30) days of the charge. Sponsor will investigate in good faith and, where warranted, issue a refund.
  • Donations not refundable. Optional donation amounts added through the checkout upsell or made through the “Support DonorsChoose” flow are charitable contributions to DonorsChoose and are not refunded, including in connection with a Pixel-Block refund under this Section 6. If you believe a direct donation was made in error, contact DonorsChoose directly under DonorsChoose's standard refund policies.

Refunds, when issued, will be processed to the original payment method within fifteen (15) business days of approval.

7. User Content

(a) Your Responsibility

You are solely responsible for any image, URL, caption, or other material you upload, submit, or otherwise provide through the Site, including its legality, accuracy, and compliance with the Content Policy and applicable law.

(b) License to Sponsor

By submitting User Content, you grant Sponsor a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to host, store, transmit, display, reproduce, modify (for technical purposes including resizing, format conversion, and optimization), publicly display, publicly perform, and distribute the User Content on the Site, on share cards and other Site-generated materials, and in connection with marketing, advertising, and promotion of the Site and the Services, in any and all media now known or hereafter developed. This license persists for the lifetime of your Pixel-Block placement on the Map.

(c) Your Representations and Warranties

With respect to each item of User Content, you represent and warrant that: (i) you own all rights in and to the User Content, or have obtained all necessary licenses, consents, and permissions from third-party rights holders; (ii) the User Content does not and will not infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, right of publicity, right of privacy, or other intellectual property or proprietary right of any person; (iii) the User Content does not violate the Content Policy or any applicable law; and (iv) you have all rights and authority necessary to grant the license in Section 7(b).

(d) Moderation; Removal

All User Content is subject to review by Sponsor's content moderation pipeline (automated screening plus human review for edge cases). Sponsor may, in its sole discretion, reject, remove, or require modification of any User Content that violates this Agreement or the Content Policy, or that Sponsor reasonably believes may expose Sponsor to legal or reputational harm. Sponsor will use reasonable efforts to notify you of any rejection or removal and to provide a reason, but is not obligated to do so where notification would itself be unlawful or impractical.

(e) DMCA Notice and Counter-Notice

If you believe in good faith that User Content on the Site infringes your copyright, please submit a notice complying with 17 U.S.C. § 512(c)(3) to: DMCA Designated Agent, USA Homepage LLC, 141 Traction Street PMB 250, Greenville, SC 29611, email: dmca@usahomepage.com. Sponsor will respond to compliant notices and provide a counter-notice procedure consistent with the DMCA. Sponsor will terminate repeat infringers' access to the Services where appropriate.

8. Prohibited Conduct

You agree not to, and not to permit any third party to:

  • Use the Site for any unlawful, harmful, fraudulent, or deceptive purpose;
  • Upload or submit content that violates the Content Policy;
  • Tamper with, probe, scan, or attempt to compromise the security or integrity of the Site;
  • Use any automated means (bot, scraper, crawler, headless browser) to access the Site, except for compliant search-engine indexing;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Site;
  • Resell, redistribute, mirror, or commercially exploit the Site or any portion of it (other than your own Pixel-Block and User Content as permitted by this Agreement);
  • Impersonate any person or misrepresent your affiliation with any organization;
  • Use the Site to engage in harassment, stalking, doxxing, or any conduct that infringes the rights of others;
  • Circumvent or attempt to circumvent eligibility restrictions, including the Sweepstakes state exclusions in Section 3;
  • Use the Site in violation of any applicable export control or sanctions law.

9. Gift Purchases

You may purchase a Pixel-Block as a gift through the Site's gift flow. As a gift purchaser, you may designate a recipient name, recipient email, a delivery date, and a personal message. On the designated delivery date, Sponsor will email the recipient a confirmation and a Management Link.

The recipient becomes the manager of the Pixel-Block and is subject to this Agreement (including the Content Policy) upon accepting and using the Management Link. The Sweepstakes entry generated by a gift purchase is attached to the buyer (the person whose payment was used), not to the recipient. The recipient does not become eligible for the Sweepstakes by virtue of receiving the gift. See the Sweepstakes Official Rules for complete entry mechanics. If the buyer is a resident of a state excluded from Sweepstakes eligibility, no Sweepstakes entry is generated.

10. Sweepstakes

The Sweepstakes is governed by separate Sweepstakes Official Rules posted at usahomepage.com/rules, which are incorporated by reference into this Agreement. In the event of a conflict between these Terms and the Sweepstakes Official Rules with respect to the Sweepstakes, the Sweepstakes Official Rules control. NO PURCHASE NECESSARY TO ENTER OR WIN. A purchase will not increase your chances of winning. VOID IN NEW YORK, FLORIDA, RHODE ISLAND, AND WHERE PROHIBITED.

11. Charitable Contributions

(a) 10% of Pixel-Block Revenue

Sponsor commits to donate an amount equal to ten percent (10%) of cumulative gross Pixel-Block revenue, calculated before deduction of payment processing fees and exclusive of sales tax collected, to DonorsChoose for allocation to public school classroom projects in the State of Allocation associated with each underlying Pixel-Block purchase. This 10% commitment applies to all Pixel-Block revenue regardless of when sold during the lifetime of the Site, subject to DonorsChoose's continued status as a 501(c)(3) public charity and willingness to receive the contributions.

(b) Direct Donations

Direct donations made through the “Support DonorsChoose” flow on the Site or the optional checkout donation upsell flow one hundred percent (100%) to DonorsChoose for allocation to the donor-selected state's project pool. With respect to direct donations, DonorsChoose is the donor of record and is responsible for issuing donation receipts under its standard practices. Sponsor is acting as a pass-through facilitator and retains no portion of direct-donation amounts. Direct donations are subject to DonorsChoose's terms, including its policy for redirecting funds where no eligible project exists in the selected state at the time of batch funding.

(c) Tax Treatment

Pixel-Block purchases are commercial transactions and are not tax-deductible charitable contributions. Direct donations through the “Support DonorsChoose” flow flow to DonorsChoose, a 501(c)(3) public charity, and are tax-deductible to the donor to the extent permitted by law, subject to DonorsChoose's standard receipt practices. Sponsor does not provide tax advice. Consult your tax advisor for guidance on your specific situation.

(d) DonorsChoose Independence

DonorsChoose is an independent 501(c)(3) public charity. DonorsChoose is not a sponsor, operator, or co-sponsor of the Site or the Sweepstakes, has not endorsed any portion of this Agreement, and has no liability for the operation of the Site. Sponsor's commitment under this Section 11 is between Sponsor and DonorsChoose; this Agreement does not create a third-party beneficiary relationship between you and DonorsChoose with respect to Sponsor's donation commitments.

12. Recognition Programs

(a) 250 USA Honoree Wall

Any individual or entity with cumulative spend of two hundred fifty U.S. dollars ($250) or more on the Site (combining Pixel-Block purchases and direct DonorsChoose donations associated with the same email address) is automatically listed on the 250 USA Honoree Wall, a public subpage of the Site. The Honoree Wall is unlimited in size. The “250” references the 250th anniversary of the United States, not a cap on names.

(b) 250 USA Heroes Ticker

The 250 USA Heroes Ticker is offered to individuals and entities with cumulative spend of two thousand five hundred U.S. dollars ($2,500) or more (combining Pixel-Block purchases and direct DonorsChoose donations associated with the same email address). Positions are awarded in the order in which qualifying cumulative spend is reached. Once a position is claimed, it remains in place for the lifetime of the Site and does not rotate off.

(c) Attribution Defaults

Default attribution on both the Honoree Wall and the Heroes Ticker is: first name plus last initial for individuals, and organization name for entities. You may, at your option, request anonymous display or a different attribution format by contacting help@usahomepage.com. Sponsor will accommodate reasonable requests but reserves the right to decline displays that would be misleading or that violate this Agreement.

(d) No Transfer; No Refund

Honoree Wall and Heroes Ticker placements are not transferable. Recognition placements are not refundable in the event of a Pixel-Block refund or donation reversal, except where the underlying cumulative spend is voided in its entirety.

13. Site Operation, Sellout, and Closure

The Map is finite. Once all available Pixel-Blocks have been claimed, the Map is closed permanently to new Pixel-Block purchases. Closure does not terminate any user's rights under this Agreement, including the Image Management Window in Section 5(e) or the recognition placements in Section 12.

Sponsor reserves the right to modify, suspend, or discontinue any portion of the Services for operational reasons, subject to reasonable prior notice for material changes affecting paying users.

14. Intellectual Property

Except for User Content, all content, code, design, branding, trademarks, service marks, logos, text, graphics, and other materials made available through the Site (collectively, the “Sponsor Materials”) are owned by Sponsor or its licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with this Agreement, Sponsor grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. All rights not expressly granted are reserved. “USA Homepage,” the USA Homepage logo, and other USA Homepage marks are trademarks of Sponsor. You may not use any USA Homepage mark without Sponsor's prior written consent, except as necessary to refer to the Site itself in a fair-use manner.

If you provide Sponsor with any feedback, suggestions, ideas, or other input regarding the Site or the Services (collectively, “Feedback”), you grant Sponsor a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable, transferable license to use, modify, exploit, and incorporate the Feedback without restriction or compensation.

15. Third-Party Services

The Site uses third-party services including Stripe (payments and tax), DonorsChoose (charitable allocation), email delivery providers, image hosting and CDN providers, content moderation contractors, and web analytics providers. Your use of those third-party services is subject to the third parties' own terms and privacy practices. Sponsor is not responsible for third-party services and disclaims liability arising from third-party acts or omissions to the maximum extent permitted by law.

16. Disclaimers

Except where prohibited by applicable law, the Site and the Services are provided “as is” and “as available,” without warranty of any kind, either express or implied. Sponsor expressly disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, and quiet enjoyment. Sponsor does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Sponsor does not warrant the accuracy, reliability, or completeness of any information on the Site.

Without limiting the foregoing, Sponsor makes no representation or warranty regarding: (i) the outcome of any Sweepstakes drawing; (ii) the timing, allocation, or use of charitable contributions by DonorsChoose; (iii) the availability of eligible classroom projects in any specific state at any specific time; (iv) third-party content displayed on the Map; or (v) the conduct of other users of the Site.

17. Limitation of Liability

Except where prohibited by applicable law, in no event will Sponsor or its officers, directors, members, employees, agents, or contractors be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to this Agreement or your use of the Site, whether based on contract, tort (including negligence), statute, or any other legal theory, even if Sponsor has been advised of the possibility of such damages.

Sponsor's total aggregate liability arising out of or relating to this Agreement or your use of the Site will not exceed the greater of (A) the total amount you paid to Sponsor for Pixel-Blocks during the twelve (12) months preceding the event giving rise to liability, or (B) one hundred fifty U.S. dollars ($150).

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any such law applies, some or all of the exclusions and limitations in this Section 17 may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless Sponsor and its officers, directors, members, employees, agents, contractors, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your User Content; (ii) your use of the Site; (iii) your breach of this Agreement; (iv) your violation of any law or the rights of any third party; or (v) any dispute between you and any other user of the Site. Sponsor may, at its option, assume the exclusive defense and control of any matter otherwise subject to your indemnification, in which case you will cooperate with Sponsor's defense.

19. Dispute Resolution; Arbitration; Class Action Waiver

(a) Informal Resolution

Before initiating any formal proceeding, you agree to first contact Sponsor at legal@usahomepage.com and provide a brief written description of the dispute and your contact information. You and Sponsor agree to attempt in good faith to resolve any dispute through informal negotiation for at least thirty (30) days from the date of the notice.

(b) Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement, the Site, or the Services that is not resolved through informal negotiation will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, except as modified by this Agreement. The arbitration will be conducted by a single arbitrator, will be seated in Greenville, South Carolina, and may be conducted by videoconference where permitted by the AAA Rules.

(c) Class Action Waiver

YOU AND SPONSOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one party's claims or preside over any form of representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of Section 19(b) (Binding Arbitration) is null and void.

(d) Jury Trial Waiver

YOU AND SPONSOR WAIVE THE RIGHT TO TRIAL BY JURY

with respect to any dispute arising out of or relating to this Agreement, to the maximum extent permitted by law.

(e) Exceptions

Notwithstanding the foregoing, either party may: (i) bring an individual claim in small-claims court in the county of your residence; and (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

(f) 30-Day Opt-Out

You may opt out of the arbitration and class action waiver provisions of this Section 19 by sending a written notice of opt-out, postmarked within thirty (30) days of your first purchase or first acceptance of this Agreement, to: USA Homepage LLC – Arbitration Opt-Out, 141 Traction Street, PMB 250, Greenville, SC 29611. The notice must include your name, email, and a clear statement that you opt out. Opt-out will not affect any other provision of this Agreement.

20. Governing Law

This Agreement and any dispute arising out of or relating to it are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles, and, where applicable, U.S. federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

21. Changes to These Terms

Sponsor may modify these Terms from time to time. The Effective Date at the top of these Terms indicates when this version was last updated. Material changes will be communicated to you by email (using the address on file for your most recent Pixel-Block purchase) or by prominent notice on the Site at least thirty (30) days before the changes take effect, except where shorter notice is required for legal or security reasons. Your continued use of the Site after the effective date of a change constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Site; refunds will not be available for prior purchases solely because of a modification to these Terms.

22. Termination

Sponsor may suspend or terminate your access to the Site, or remove your User Content, at any time and without prior notice if Sponsor reasonably believes you have breached this Agreement, the Content Policy, the Sweepstakes Official Rules, or any applicable law, or that suspension or termination is necessary to protect the Site or other users. Sections that by their nature should survive termination (including Sections 7(b), 11, 14, 16, 17, 18, 19, 20, and 23) will survive.

23. Miscellaneous

  • Entire Agreement. This Agreement (these Terms together with the Privacy Policy, the Content Policy, and the Sweepstakes Official Rules) constitutes the entire agreement between you and Sponsor regarding the Site and supersedes any prior or contemporaneous understandings.
  • Severability. If any provision of this Agreement is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
  • No Waiver. Sponsor's failure to enforce any right or provision of this Agreement will not be deemed a waiver of that right or provision.
  • Assignment. You may not assign or transfer this Agreement, by operation of law or otherwise, without Sponsor's prior written consent. Sponsor may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section is void.
  • Force Majeure. Sponsor is not liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network or power outages, pandemics, or labor disputes.
  • Notices. Notices to you may be provided by email to the address you provided at checkout or by posting on the Site. Notices to Sponsor must be sent in writing to 141 Traction Street, PMB 250, Greenville, SC 29611 with a courtesy copy by email to legal@usahomepage.com.
  • Headings. Section headings are for convenience only and do not affect interpretation.
  • Government End Users. If you are a U.S. government end user, the Site is a “Commercial Item” as defined in 48 C.F.R. § 2.101, and your rights are subject to this Agreement only.
